ATLANTA - June 19, 2000 -- Suburban Lodges of
America, Inc. (Nasdaq:SLAM - news) today announced its business and financial
relationship with HotelTools, Inc., a private company formed in 1999 to
continue to develop and exploit property management software initially
developed by Suburban Lodges for Suburban Lodge hotel owners and managers.
With property management software at its core, HotelTools is creating
unique applications that will enable hotel owners and operators to manage
their properties remotely and in real time. Its easy-to-access web-based
interface, hoteltools.com, will combine this enterprise management application
with a universal reservation system and supply chain integration. Hoteltools.com
is expected to be the only portal that aggregates all facets of hospitality
management, reservations and procurement into a single online community.
By integrating all three functions through one seamless interface, HotelTools�
applications will enable true real-time and one-entry functionality.
In addition to a staff of 65 hospitality and internet industry veterans,
HotelTools includes as directors John Russell, currently Vice-Chairman
of the American Hotel Motel Association and formerly Vice-Chairman of the
Travel Division of Cendant, Inc. (NYSE:CD - news), James Mahan, III,
CEO and Chairman of S1 Corporation (Nasdaq:SONE - news) and David Krischer,
CEO and Chairman of Suburban Lodges. HotelTools� CEO, Seth Christian, was
formerly Vice President of Operations and Technology with Suburban Lodges.
HotelTools
is seeking funding from venture capitalists, companies in the hospitality
industry and others. In the interim, Suburban Lodges has made loans to
HotelTools to provide the funds necessary to facilitate its launch. The
Company expects that its loans to HotelTools, Inc. will aggregate approximately
$3.5 million by June 30, 2000, and, if no additional funding is secured
by HotelTools, the Company expects that its loans will aggregate approximately
$7.5 million by December 31, 2000. The Company anticipates that, without
other funding from third parties, it will make advances to HotelTools through
June 30, 2001. In exchange for these loans, Suburban has received warrants
to acquire a significant investment stake in HotelTools at a nominal cost.
In the event HotelTools is unable to repay the loan, Suburban would recognize
a loss up to the full amount of its advances.
Commenting on the announcement, David Krischer said, �Suburban Lodges

in 1988 of an automated telephone attendant to handle guest telephone calls
to our proprietary property management system. A year ago we decided that
the competitive advantage offered by the exclusive use of our software
at Suburban Lodge hotels was outweighed by its extraordinary untapped value
and potential for the entire hotel industry, so we began to explore alternatives
for leveraging the value of this asset. Our announcement today is the result
of that process. HotelTools� new offering is at the forefront of today�s
technology, combining property management and real-time web-based reporting
with real-time universal reservations and e-commerce. We are excited to
