Hospitality & Recreation

The Goulston & Storrs Hospitality and Recreation group draws from many different disciplines within the firm to represent developers, management companies, lenders, franchisors, franchisees and equity investors in hotel, resort and golf course developments. Our attorneys also represent numerous financial institutions in making both construction and permanent loans on hotels and other recreational projects. Since tax and transactional attorneys work together as members of this group, we are frequently involved in structuring sophisticated transactions that maximize the tax planning opportunities of our clients.

We assist all players in the hotel and recreation services industry.  Our representation of hotel management companies includes preparation and negotiation of hotel management agreements, franchise agreements, leases with owners, mezzanine loans, equity investments, technical services agreements, construction agreements and purchasing agreements for national buying programs. For our developer clients, we provide all services necessary in a hotel, resort or golf course development, including site acquisition, permitting, entity formation, financing, securities work, tax structuring and negotiation of management contracts. Members of our Hospitality and Recreation group have considerable experience in all aspects of ownership structuring and tax planning, and we regularly counsel both public and private investors in hotel and other recreational projects, including pension and opportunity funds.

  • Represent Fairmont Raffles Hotels International in connection with the sale of the Fairmont Copley Plaza to Felcor Lodging Trust.
  • Represent Pyramid Hotel Group in connection with proposed public offering of Pyramid Hotels & Resorts, Inc.
  • Represented Fairmont Hotels & Resorts in connection with hotel management agreement for the Fairmont Battery Wharf Hotel, Boston.
  • Sale of the historic Sagamore Resort at Lake George, New York.
  • Represented Capital Properties in the acquisition of Chatham Bars Inn. 
  • Represented The Fallon Company / New England Development in the acquisition, development and ultimate sale of the Westin Boston Waterfront Convention Center Hotel. 
  • Represented Pyramid Hotel Opportunity Venture in connection with the acquisition of an 8-hotel portfolio from Thayer Lodging Group and a 5-hotel portfolio from CNL, and Pyramid Hotel Opportunity Venture II in connection with the acquisition of a 7-hotel portfolio from HRO. 
  • Represented Pyramid Hotel Opportunity Venture and Pyramid Hotel Opportunity Venture II in connection with numerous franchise agreements with Marriott, Crowne Plaza, Hilton and Starwood Hotels. 
  • Represented ownership in the sale of Caribbean five-star flagged resort property. 
  • Represented ownership in connection with hotel management and license agreement with respect to a hotel in Phuket, Thailand. 
  • Represented Pyramid Advisors in connection with joint venture and hotel management arrangements with General Electric Pension Trust incident to the acquisition of a 5 Hotel portfolio from a joint venture between Morgan Stanley and Pyramid; and represented the Pyramid/General Electric Pension Trust joint venture in connection with liquor license transfers and franchise arrangements with Marriott and Hilton in connection therewith. 
  • Represented Pyramid Advisors in connection with asset management arrangements with MS Resorts with respect to the Grand Wailea Resort Hotel & Spa in Maui, the Arizona Biltmore Resort & Spa in Phoenix, LaQuinta Resort & Club in Palm Springs, the Doral Golf Resort & Spa in Miami, the Ritz Carlton Orlando, Grande Lakes, the J.W. Marriott Orlando, Grande Lakes and the J.W. Marriott Desert Ridge Resort & Spa in Scottsdale; and represented Pyramid Advisors in connection with hotel management arrangements with MS Resorts for the Claremont Resort & Spa in Berkeley, CA. 
  • Represented a major hotel owner and operator based in Maryland in numerous financings, acquisitions and other transactions. 
  • Represented Legacy Property Group in connection with franchise and hotel management arrangements with Hilton Hotels for the Hilton Garden Inn Atlanta Downtown.
  • Represented Nantucket Island Resorts in its acquisition, redevelopment and operation of the White Elephant Hotel, the Wauwinet Inn, the Nantucket Boat Basin and related hotel, restaurant and marina properties on Nantucket, MA.
  • Represented New England Development in its acquisition, operation and redevelopment of marina, restaurant and related hospitality properties in Newburyport, MA.
  • Coordinated the transfer of existing liquor licenses and application for new liquor licenses at 13 hotels acquired by Pyramid Hotel Opportunity Venture and located across the country.
